RESPONSIBILITES AND OBLIGATIONS OF SRA 1.1 Shall provide list of contact person/s or authorized representatives to the provider for the day-to-day pick-up of documents/papers for shipments from Records Section located at the Fourth (4th ) floor, Main Building, North Avenue, Diliman, Quezon City; 1.2 Shall be responsible for the reasonable schedule of pick-up time and days by the provider; 1.3 Shall be responsible for the preparation of all documentary shipments subject for turn-over and delivery to the provider; 1.4 Shall be responsible for the proper, secured packing and labeling of all shipments subject for turn-over and delivery to the provider; 1.5 Shall ensure proper packing of all breakable, fragile and perishable shipments with utmost care, and crafted either in skeletal or close crates; 1.6 Shall properly turn-over and deliver all the manifests of all shipments to the provider representatives; and 1.7 Shall ensure that whatever discrepancies during the actual turn-over of shipments to the provider representatives as declared shall be noted in the pick-up/turn-over manifest duly acknowledged and signed by the representatives of both parties. 2. RESPONSIBILITIES AND OBLIGATIONS OF provider 2.1 Shall provide list of representatives to SRA to handle the picking up of shipments; 2.2 Shall provide receptacles/skeletal/close crates to w/ charge to SRA, and/or upon the request of the latter; 2.3 Shall strictly follow and implement the picking up of shipments/documents based on the agreed scheduled time and days as required under this Agreement; 2.4 Shall conduct the counter checking of the conditions of all shipments/documents/papers prior to their turn-over to LBC; 2.5 Shall conduct proper inventories of all the shipments/documents/papers and shall ensure also that every record is tallied and reconciled with the items listed in the turn-over or pick-up receipts; 2.6 Shall ensure that the addresses of the consignees are complete including their contact numbers; 2.7 Shall ensure that whatever discrepancies during the actual pick-up of shipments from SRA as declared, shall be noted in the pick-up or turn-over manifest, and duly signed and acknowledged by the representatives of both parties; 2.8 Shall process the shipments under the normal provider place of supply (POS) Acceptance Program, and forward or deliver the same to the subject destination nationwide; 2.9 Shall provide fast and dependable delivery of all shipments/documents, parcels and cargoes to SRA’s designated consignees to any destinations in the Philippines; 2.11 Shall pick up the documents/shipments from SRA’s Head Office which is located at the Philippine Sugar Center Building, North Avenue, Diliman, Quezon City at 2:00 PM in the afternoon of every Mondays, Wednesdays, and Fridays. When these days fall on holidays, pick up of shipments shall be strictly done in the following working days; 2.12. SRA agrees to pay provider the rate as per its bid offers/quotations, copy of which is attached as Annex “A”; PRODUCT RATES (VAT Inclusive) Document NCR LUZ VIZ MIN N-Pouch Regular (6.5” x 11” up to 500g) N- Pouch Extra Large (9.5” x 14” up to 1Kg) N- Pouch Super Size (12” x 18” up to 2Kg) Parcel N-Pack Small (9.5” 14” up to 3Kg) N-Pack Large (12” x 17” up to 3 Kg) General Cargo (Using Client packaging) First 3Kg Additional kg or a fraction thereof Additional Charges: • Valuation charge: 1% of declared value • Out of Delivery Zone (ODZ) rate: Php. 60.00 per kg minimum of 10 kls on top of freight charge. Notes: • Weight computation – actual or volumetric weight; whichever is higher • Volumetric Weight computation – Length (cm) x width (cm) x height (cm)/3500 2.13. Shall deliver, transport and ship all documents and cargoes of SRA to any point of destinations as covered under Agreement; 2.14. Provider assumes all rights, duties and liabilities of a Common Carrier as provided in the Civil Code of the Philippines and Code of Commerce; 2.15. Provider shall be held liable for damages or losses incurred arising from the poor performance of its responsibilities and obligations; 2.16. Provider shall indemnify SRA for a declared value of any losses and damages incurred by the latter from the poor performance or violations of provider’s obligations and responsibilities under this Agreement, not later than ten (10) days after the receipt of the latter’s written complaint, to wit; 2.17. Loss or destruction of, or damage to property of SRA including the conversion thereof, caused by or resulting in any manner from any act, omission, negligence or fault of provider or any of its agent and employee including loss or damage resulting from performing or failing to perform any of the services; 2.18 Theft, embezzlement or defalcation on the part of the provider or any of its agent and employees. The liabilities of the provider for any loss, damage or destruction of SRA’s cargo shall be limited only to the portion of the shipments actually lost, pilfered or damaged based on its actual declared value; 2.19 Damages and losses which are due to force majeure in which both parties cannot perform their obligations provided under this Agreement, but not limited to: 2.19.1 War or other hostilities (whether war be declared or not); 2.19.2 Rebellion, Revolution, Insurrection, Terrorism and Civil War; and 2.19.3 A Natural Calamity or other acts of God. 2.20. Any Return-To-Sender (RTS) documents were considered done and shall be included in the billing statements, however, they will be deducted/excluded when the reasons for unsuccessful delivery are found to be invalid; 2.21. SRA shall pay LBC the cost of the courier services within a period of Fifteen (15) days from the receipt of the billing statements, which shall be done every week on a bi-monthly basis. The cut off period is on the 15th day and end day of the month; 2.22. Provider shall not transfer or assign any or all of its obligations under the contract to any third party without the prior written consent of the SRA, except on the areas where contractor has no agent or branch office; 2.23 Provider shall treat all documents/papers and cargoes picked-up from the SRA as classified and confidential shipments; 2.24. SRA agrees that in the absence of the specified consignee at given address, shipments may be given to any persons of legal age within the consignee’s residence/office even if with/without formal letter of Authority (LOA) from the consignee or his/her authorized party; 3. BREACH OF CONTRACT SRA and provider reserve the right to terminate this Agreement for any violation of its terms and conditions, or for any just cause. The failure of the SRA to insist upon a strict performance of any of the terms, conditions and covenants hereof shall not be deemed a relinquishment or waiver of any right or remedy under this Agreement, nor shall it be construed as a waiver of any subsequent breach or default of the terms, conditions and covenants as contained herein, which shall be deemed in full force and effect. No waiver by the SRA shall be deemed to have been made unless expressed in writing. 4. The termination of this Agreement shall not release any of the parties from any obligations or cause of action that may have accrued, or liability incurred prior to termination. 5. This contract shall be in effect and full force for a period of one (1) year effective __________, 2024 unless sooner terminated by either party by giving the party at least thirty (30) days written notice prior to the intended effective date of termination. 6.
